Android Enterprise APIs Terms of Service

Thank you for using the Android Enterprise APIs (the "Service"). By using our Service, You agree to (1) these Terms of Service, and (2) the Google APIs Terms of Service, and (3) the Permissible Usage policy found at https://developers.google.com/android/management/permissible-usage (which may be updated by Google from time to time).

If ever in conflict, these Terms of Service will take precedence over the Google API Terms of Service. Please read these Terms of Service and the Google API Terms of Service carefully.

As used in these Terms of Service, "You" means the individual or entity using the Services (and/or any individual, agent, employee, representative, network, parent, subsidiary, affiliate, successor, related entities, assigns, or all other individuals or entities acting on your behalf, at your direction, under your control, or under the direction or control of the same individual or entity who controls you).

We will not disclose Your Confidential Information, except to affiliates, employees, agents or professional advisors who need to know it and who have agreed in writing (or in the case of professional advisors are otherwise bound) to keep it confidential. We will ensure that those people and entities use Your Confidential Information only to exercise rights and fulfill obligations under the Terms and that they keep it confidential. We may also disclose Your Confidential Information when required by law after giving reasonable notice to You, if permitted by law. As used in these Terms of Service, Your Confidential Information means Your information that You disclose to us under these Terms of Service, and that is marked as confidential. It does not include information that we already knew, that becomes public through no fault of ours, that was independently developed by us, or that was lawfully given to us by a third party without confidentiality obligations, or becomes public through no fault of ours.

Where applicable, the parties will comply with Google’s Android Enterprise Data Processing and Security Terms available at the following URL (which may be changed from time to time): https://www.android.com/enterprise/data-protection/terms. For the purposes of Google’s Android Enterprise Data Processing and Security Terms, "Customer" shall mean the EMM or Zero Trust solution providers.

Where applicable, if You wish to create an enterprise account on behalf of Your customer using the method enterprises.create of the Android Enterprise API and setting the field agreementAccepted to “true” pursuant to the requirements at https://developers.google.com/android/management/create-enterprise (which may be changed from time to time), You must also comply with the requirements below in addition to Your existing rights and obligations above:

  1. Prior to using the Android Enterprise API, You must:

    1. Provide a copy of the Managed Google Play Agreement to Your customer;
    2. Obtain express consent from Your customer to the Managed Google Play Agreement (e.g., customer clicks an “I accept” button at the bottom of the Managed Google Play Agreement);
    3. Maintain records of this customer acceptance along with the identity of such customer user and the date and time of such acceptance and allow Google to audit at their discretion;
    4. Ensure that Your customer provides You with a work contact email;
    5. Provide notice to and obtain express consent from Your customer to disclose their work contact information to Google for Service-related notices;
    6. Allow Your customer to provide You with the contact information for their data protection officer and European Union representative, which, for example, can be done via the EMM console;
    7. If Your customer has provided You with the contact information in Section 1(f) above, You must provide notice to Your customer, and obtain their express consent for You to disclose the contact information of their data protection officer and European Union representative, and any updates thereto, in the EMM console to Google;
  2. When calling the Android Enterprise API, You must provide the contact information of customer and customer’s data protection officer and European Union representative to Google;

  3. After You have created an Enterprise for a customer, You must permit Your customer to modify the contact information of their data protection officer and European Union representative in the EMM console;

  4. If Your relationship with the customer terminates, You must: (a) provide the customer with advance notice that, upon the relationship termination, You will work with Google to delete all data tied to their enterprise account; and (b) subsequently delete their enterprise account using the method enterprises.delete of the Android Management API;

  5. Where applicable to the parties’ processing of personal data, including the contact information of the customer and the customer’s data protection officer and European Union representative provided to Google, the parties will comply with the Google Controller-Controller Data Protection Terms available at the following URL (which may be changed from time to time): https://privacy.google.com/businesses/gdprcontrollerterms/; and

  6. Unless prohibited by applicable law, if You are a business, You will defend and indemnify Google, and its affiliates, directors, officers, employees, and users, against all liabilities, damages, losses, costs, fees (including legal fees), and expenses relating to any allegation or third-party legal proceeding to the extent arising from Your violation of these Terms of Service.
